Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the Tripwala platform at tripwala.io (the “Platform”), operated by Paremson OÜ, a private limited company registered in Estonia under registry code 17552152, with its registered office at J. Kunderi tn 6-20, 10128 Tallinn, Estonia (“Tripwala”, “we”, “us”). By creating an account or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.

1. Definitions

  • Creator: a user who lists and hosts group trips through the Platform.
  • Traveller: a user who browses trips and submits booking requests.
  • Trip: a group travel experience organised and delivered by a Creator.
  • Booking Request: a traveller’s request to join a Trip, which is not confirmed until the Creator accepts it.

2. What Tripwala is, and what it is not

Tripwala is a technology platform (an information-society service) that connects Creators and Travellers and provides tools to list trips, submit and manage booking requests, and communicate. Tripwala is an intermediary only. We are not a party to, and are not responsible for, any agreement, arrangement, or transaction between a Creator and a Traveller.

Specifically, and to the extent permitted by applicable law:

  • Tripwala does not organise, operate, sell, resell, or deliver trips. The organiser and provider of each Trip is the Creator, who is solely responsible for the Trip, its content, pricing, delivery, safety, and compliance with applicable law.
  • Tripwala is not a travel agency, tour operator, or package-travel organiser, and does not assemble, sell, or offer packages or linked travel arrangements within the meaning of the EU Package Travel Directive. Any responsibility of a package organiser or retailer, where it arises, rests with the relevant Creator and not with Tripwala.
  • Tripwala does not process payments through the Platform and does not receive, hold, control, or disburse any traveller funds or client money. Any payment for a Trip is arranged and made directly between the Traveller and the Creator, outside the Platform. As Tripwala does not hold client funds or provide payment services, it does not require, and does not operate under, a payment-services or client-money licence.

3. Eligibility and accounts

You must be at least 18 years old and able to enter into a binding contract to use the Platform. You agree to provide accurate information, to keep your login credentials secure, and to be responsible for activity under your account. You may register as a Traveller or a Creator; Creator accounts require approval before hosting trips. We may refuse, suspend, or remove accounts that breach these Terms.

4. Creators

Creators are independent from Tripwala. As a Creator, you are responsible for the accuracy of your listings; for organising and delivering your trips safely and lawfully; for holding any permits, registrations, insurance, or licences required for your activities; and for your own tax and legal obligations. You warrant that your content and trips do not infringe third-party rights or violate applicable law.

5. Travellers

As a Traveller, you are responsible for assessing whether a Trip is suitable for you, including its itinerary, physical demands, and risks; for arranging your own travel documents, visas, and insurance; and for any arrangements you make directly with a Creator. A Booking Request is an expression of interest and does not create a confirmed booking until the Creator confirms it.

6. Booking process

Booking on the Platform typically involves submitting a Booking Request, an optional discovery call, review by Tripwala, and confirmation by the Creator. Any contract for a Trip is formed directly between the Traveller and the Creator, on terms agreed between them. Tripwala is not a party to that contract and gives no warranty regarding any Trip.

7. Payments

Tripwala does not currently charge Travellers through the Platform and does not process or hold payments. All monies relating to a Trip are handled directly between the Traveller and the Creator. If we introduce Platform fees or payment features in the future, we will update these Terms and notify users in advance.

8. User content

You retain ownership of content you submit (such as listings, photos, and messages). You grant Tripwala a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, and display that content solely to operate and promote the Platform. You are responsible for your content and must have the rights necessary to share it.

9. Acceptable use

You agree not to:

  • use the Platform for unlawful, fraudulent, or harmful purposes;
  • post false, misleading, infringing, or offensive content;
  • attempt to circumvent security, scrape data, or disrupt the Platform;
  • impersonate others or misuse another user’s account or information.

10. Third-party services

The Platform may link to or integrate third-party services (for example, calendar scheduling for discovery calls). Those services are governed by their own terms, and we are not responsible for them.

11. Disclaimers

The Platform is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, regarding the Platform and any Trip. We do not warrant that the Platform will be uninterrupted or error-free, and we are not responsible for the conduct, acts, or omissions of Creators or Travellers, or for the quality, safety, or legality of any Trip.

12. Limitation of liability

To the fullest extent permitted by applicable law, Tripwala shall not be liable for any indirect, incidental, or consequential loss, or for any loss arising from a Trip or from dealings between Travellers and Creators. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, and these Terms do not affect the mandatory statutory rights of consumers under Estonian and EU law.

13. Indemnity

If you use the Platform in the course of a business (including as a Creator), you agree to indemnify Tripwala against claims, losses, and costs arising from your trips, your content, or your breach of these Terms, to the extent permitted by law.

14. Suspension and termination

You may stop using the Platform and close your account at any time. We may suspend or terminate access where you breach these Terms or where necessary to protect the Platform or other users.

15. Changes

We may update these Terms from time to time. We will post the updated version here and revise the date above; continued use after changes take effect constitutes acceptance.

16. Governing law and disputes

These Terms are governed by the laws of Estonia, without prejudice to any mandatory consumer protections available to you under the law of your country of residence. Disputes are subject to the jurisdiction of the Estonian courts. Consumers may also use the Estonian Consumer Disputes Committee (Tarbijavaidluste komisjon) and the European Commission’s Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
